Terms of service

1. About these terms
These terms apply to the Nxtpay service provided by Nxtedge Digital Solutions ("we", "us"), trading as Nxtpay, a business name registered with the Corporate Affairs Commission (BN 9818707), whose principal place of business is 53, Charity Road, Abuleegba, Lagos State, Nigeria to the organization that signs up ("you", "the customer"), and to the people you give access to ("users").
2. Early access
Nxtpay is in early access. We are building it with our first customers, and features will change. We will tell you before we remove or significantly change anything you rely on.
3. What Nxtpay does, and what it does not
Nxtpay helps you prepare, review, approve and record payroll, and produces payslips, reports and a payment file for your bank.
You remain responsible for your payroll. In particular:
- Statutory deductions. Nxtpay does not calculate PAYE, pension, NHF or other statutory amounts. You enter or import them, and you are responsible for their accuracy.
- Payments. Nxtpay does not move money. You upload the payment file to your bank and confirm the payments.
- Remittances and filing. Nxtpay does not remit, file or report anything to tax authorities, pension administrators or other bodies. Remittance dates shown in Nxtpay come from the schedule you give us.
- Approval. Payroll approved in Nxtpay is approved by you. Please review each run before approving it.
4. Your account and users
- You decide who has access and which role they have, and you keep that list current.
- Each user must keep their password and two-factor device to themselves.
- Tell us promptly at security@nxtedgestudio.com if you think an account has been misused.
5. Your data
- You own the data you put into Nxtpay. We use it only to provide the service to you, as described in our privacy policy, and as your data processor for your employees' data.
- You confirm you have the right to give us that data, and that you have told your employees how their data is used, as the Nigeria Data Protection Act 2023 requires of you as data controller.
- When you leave, we will give you an export of your data within 14 days of your request. We then delete your data from Nxtpay within 30 days of giving you the export, unless you ask us in writing to keep it longer or the law requires us to keep it. Copies in our backups are deleted as those backups expire; until then they are kept secure and used only to recover the service.
6. Acceptable use
Do not use Nxtpay to break the law, to access data you are not authorized to see, to test its security without our written permission, or in a way that disrupts it for others.
7. Fees
Fees are agreed with each organization in writing during early access, in naira. Unless that agreement says otherwise, we invoice monthly in advance and each invoice is due within 14 days. If an invoice is still unpaid 30 days after its due date, we will remind you in writing, and we may suspend access 14 days after that reminder. Suspending access never deletes your data, and you can still ask for your export.
8. Availability and support
We work to keep Nxtpay available and to fix problems promptly, but during early access we do not promise a specific uptime. Support is by email at support@nxtedgestudio.com, on working days (Monday to Friday, except Nigerian public holidays) from 9:00 to 17:00 WAT. We aim to reply within one working day, and to treat anything that stops a payroll run first.
9. Confidentiality
Each of us keeps the other's confidential information confidential and uses it only for this service.
10. Liability
- Care. We provide Nxtpay with reasonable skill and care. Beyond that, and as far as the law allows, Nxtpay is provided as it is during early access, without other promises about it.
- What we are not responsible for. We are not liable for loss caused by figures you enter or import, by approving a run you have not reviewed, by a payment file you upload to your bank, or by anything a bank, tax authority or pension administrator does. Nor are we liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Our total liability. Our total liability to you for all claims arising in any 12 months is limited to the fees you paid us for Nxtpay in the 12 months before the event that gave rise to the claim.
- What these terms do not limit. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
11. Ending the service
Either of us can end the service with 30 days' written notice. We may suspend access immediately if it is needed to protect the service or other customers, and will tell you why.
12. Changes to these terms
We will tell you by email at least 30 days before a change that affects you takes effect. If you do not agree to it, you can end the service before it takes effect.
13. Law
These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, each of us will first try in good faith to settle it by discussion for 30 days. If it is not settled, the courts of Lagos State, Nigeria, decide it.
